Definitions

"LeadWise", “We”, “Us”, “Our”: Refers to LeadWise B.V., a Dutch corporation with its principal place of business in Zeist, The Netherlands.

"Products": Refers to our eLearning program(s), microlearning videos, digital workbook, AI-powered management coach, our website www.leadwise.app, and any other services we provide.

"User" or "You": Refers to anyone using or accessing our Products.

"Terms": Refers to these Terms and Conditions.

"Member": Refers to a registered user of our Products.

​Acceptance of our Terms and Conditions

 

By using LeadWise’s Products, you indicate that you accept and agree to abide by these Terms. Please read these Terms carefully before using our Products. You may be asked to accept these Terms before purchasing or using any of our Products. These Terms also cover any updates or changes to our Products in the future.

 

Any dispute related to these Terms or the use of our Products will be resolved through mediation in The Netherlands. If mediation fails, arbitration will be the next step. You waive any right to take the dispute to court or participate in a lawsuit against LeadWise. We will select the relevant Dutch mediation party. If you do not agree with any part of these Terms, please do not use our Products.

User Rights and Responsibilities

 

Access and Registration: To access the eLearning program and AI-powered management coach, you must complete a one-time purchase. Registration requires providing your first name, last name, and email address, and creating a password. Your registration is only complete once payment is confirmed.

Program Access: After purchase, you will have access to the eLearning program content for 12 months, even though the program itself takes 10 weeks to complete. Access to the AI-powered management coach is also provided for 12 months from the date of purchase.

Account Security: You are responsible for maintaining the confidentiality of your account credentials. Ensure your registration information is accurate and up-to-date. Do not share your login details with others.

Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to register.

Compliance: You agree to use our Products in compliance with all applicable laws and regulations. You will not engage in any illegal or harmful activity or infringe upon the rights of others.

Data and Privacy Disclaimer

LeadWise takes the protection of your personal information seriously, and we collect, use, and store your data in accordance with our Privacy Policy. However, by using our Products, you acknowledge and agree to the following:

Data Collection: We collect personal data, including but not limited to, your name, email address, and usage data for the purpose of providing and improving our Products.

Processing of Data: Your data may be stored and processed in countries outside of your own, including the United States. While we take reasonable measures to ensure the security of your data, we cannot guarantee that unauthorized third parties will never gain access.

No Liability for Data Breaches: LeadWise is not liable for any damages resulting from data breaches, unauthorized access, or misuse of your data by third parties. You agree that we are not responsible for any harm or damages that may result from security breaches, data loss, or unauthorized disclosures of your personal information.

Third-Party Providers: Some data may be shared with third-party service providers to help us deliver and improve our Products. We are not responsible for the privacy practices of these third parties.

LeadWise Rights and Responsibilities

 

Service Delivery: We strive to provide the best possible service but do not guarantee that our Products will meet all your requirements or be error-free. Notify us at info@leadwise.app if you encounter issues.

Maintenance: We may temporarily suspend access to the Products for maintenance or updates without notice. We are not liable for any temporary unavailability.

Modifications: LeadWise reserves the right to modify, update, or discontinue any part of our Products at any time. Significant changes will be communicated via email or platform notifications.

Intellectual Property: All materials within our Products are the exclusive property of LeadWise. You agree not to gain any ownership rights to these materials and to use them solely as permitted by these Terms.

Educational Purposes: The content provided within our Products is intended for educational purposes only. It should not be construed as professional advice, including but not limited to legal, financial, or managerial advice. LeadWise disclaims all liability for any reliance on the information provided. Users should seek professional guidance where applicable.
 

No Guarantee of Results: While our Products are designed to help improve leadership and management skills, LeadWise does not guarantee any specific results. The effectiveness of our Products depends on multiple factors, including user engagement and individual circumstances. Any results you achieve are your sole responsibility.

AI-Powered Management Coach

Nature of the AI Coach: The AI-powered management coach provided as part of our Products is an automated system designed to offer guidance and support based on predefined algorithms. It is not a substitute for professional human advice or coaching.

No Guarantee of Results: The AI-powered coach is intended for educational and advisory purposes only. LeadWise does not guarantee specific results or outcomes from using the AI coach. Users should apply their own judgment when following the advice provided.

Limitation of Liability: LeadWise is not liable for any direct, indirect, incidental, special, or consequential damages arising from the use or reliance on the AI-powered management coach. This includes, but is not limited to, any impact on professional decisions, performance, or outcomes based on the coach's suggestions.

User Responsibility: You acknowledge that the AI coach is a tool and that any actions or decisions you make based on the coach’s recommendations are your own responsibility.

Limited Warranty
 

LeadWise provides its Products “as is” without any warranties, either express or implied. We do not warrant that the Products will be uninterrupted, error-free, or free from security breaches. To the fullest extent permitted by law, we disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the fullest extent permitted by law, LeadWise’s total liability to you for any damages arising out of or related to these Terms or the use of our Products will not exceed the total amount you have paid to LeadWise in the preceding 12 months.

LeadWise is not liable for any performance shortcomings, unavailability, or malfunction of our Products or for any delays or inability to adhere to these Terms due to causes beyond our reasonable control. This includes, but is not limited to, any damages resulting from the following:

 

• Unavailability or interruptions in the use of our Products;

• Security breaches, including unauthorized access or cyberattacks;

• Data loss or inaccuracies;

• Third-party actions or misuse of the Products.

 

Indemnity

You agree to indemnify, defend, and hold harmless LeadWise, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Products, including any violation of these Terms or applicable laws.

Force Majeure

LeadWise is not liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, strikes, governmental action, or internet service interruptions (“Force Majeure”). In such events, LeadWise’s obligations will be suspended for the duration of the event.

Termination and Cancellation

Termination of Access: You may terminate your use of our Products at any time. Upon completing the 10-week program, you retain access to the eLearning content and AI-powered coach for 12 months from the purchase date.

Violations: We reserve the right to suspend or terminate your access to our Products without notice if you engage in fraudulent activities or violate these Terms.

Non-Refundable Purchases: All purchases of the eLearning program and associated services are non-refundable unless otherwise stipulated by applicable laws.

Time Limitation on Claims

Any claim or cause of action arising out of or related to the use of our Products or these Terms must be filed within one (1) year after the claim or cause of action arose; otherwise, such claims are permanently barred.

Amendments

LeadWise may update these Terms from time to time. We will notify users by posting updates on this page and may also notify via email or platform notifications. Changes are effective immediately upon posting. Continued use of our Products constitutes acceptance of the revised Terms. You are responsible for regularly reviewing these Terms for updates.
